These Terms of Service (“Terms”) govern your use of the website and services provided by Fairground Digital, LLC (“Fairground Digital,” “we,” “our,” or “us”). By accessing our website, purchasing services, or engaging with Fairground Digital in any capacity, you agree to be bound by these Terms and our Privacy Policy.

If you are entering into an agreement with Fairground Digital on behalf of a company, you represent that you have the authority to bind that company.

1. Scope of Services

Fairground Digital provides digital services including but not limited to:

Shopify and other e-commerce website design and development
Digital marketing strategies and campaigns
Creative content and advertising services
Training and consulting related to digital solutions

Additional services may be offered by written agreement.

2. Client Responsibilities

Clients must provide all required content, materials, and feedback by agreed deadlines to ensure timely delivery of services. Delays in client responsiveness may result in extended timelines or additional fees.

Clients also warrant that all content they provide (text, images, videos, etc.) does not infringe on the rights of third parties.

3. Fees and Payment

Payment terms, deposits, and balances are agreed upon in advance before work begins.
Deposits are non-refundable once services have commenced.
Final deliverables are released only upon full payment.
Additional services outside the agreed scope may incur extra costs, which will be pre-approved by the client.

4. Ownership of Work

Upon full payment, the client owns the final deliverables (such as websites, design assets, or marketing materials).

Fairground Digital retains the right to showcase completed projects in its portfolio, marketing, or case studies.

5. Maintenance and Support

Where maintenance is included, it covers updates to ensure the original deliverables remain functional as delivered (e.g., plugin updates, security patches, contact forms).

Maintenance does not include new development (such as additional pages, features, or marketing campaigns) unless otherwise agreed.

6. Warranties

Client Warranty: Clients confirm that all provided materials do not violate the rights of others.
Vendor Warranty: Fairground Digital will perform services in a professional, industry-standard manner.

We do not guarantee specific business outcomes, sales results, or performance metrics, as these depend on external factors beyond our control.

7. Termination

Either party may terminate an engagement with written notice.

If the client terminates after work has begun, they are responsible for payment of all work completed up to the termination date.
Fairground Digital may terminate for non-payment or breach of these Terms.

8. Governing Law & Dispute Resolution

These Terms and all services provided are governed by the laws of the State of Florida.

Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in Miami, Florida.

9. Entire Agreement

These Terms, together with any written agreements or proposals signed with Fairground Digital, constitute the full understanding between the parties and supersede any prior agreements. Modifications must be in writing and agreed by both parties.
